The Foundation is exempt from federal income tax under Section 501(c)(3) and is an organization described in Section 170(c)(2) of the United States Internal Revenue Code (not a private foundation). It is controlled by the majority vote of the board. Currently, only the President can nominate potential new board members, with the whole board then voting on the new member. If the Foundation is dissolved, all of its assets must be transferred to UAB.
